1.0 Introduction
1.1 General
Proptech Innovation Hold Co Ltd. Registered in Ireland CRO (IE729106) (hereinafter referred to as "Proptech Innovation") offers Consultancy Services, Graphic Design, Website Design, Hosting, bespoke software, and similar services (hereinafter referred to as the "Services").
Proptech Innovation reserves the right to suspend or terminate a customer's access to any or all Services provided by Proptech Innovation or its hosting partners if it determines that the account has been misused or if these Terms and Conditions or the Terms and Conditions of our hosting partners have been violated. These Terms and Conditions supersede all prior agreements unless specifically agreed otherwise in writing by both Parties. All work conducted by Proptech Innovation is based on the understanding that the client has accepted Proptech Innovation's terms and conditions.
1.2 Indemnification
The Customer agrees to defend, indemnify, and hold harmless Proptech Innovation from any demands, liabilities, losses, costs, and claims, including reasonable legal fees, arising from any service provided or agreed to be provided by the Customer, its agents, employees, or assigns. This includes but is not limited to any injury to person or property caused by products sold or distributed, material infringing on third-party proprietary rights, copyright infringement, or defective products sold from Proptech Innovation's or its partners' servers.
1.3 Governing Law
This agreement shall be governed by the laws of Ireland.
2.0 Web Site Design Services
All web design services provided by Proptech Innovation to the Customer are subject to the following terms and conditions.
2.1 Scope of Work and Price Agreement
Charges for Services will be specified in the customer's Quotation. Upon receipt of a request for a quotation, Proptech Innovation will issue a Quotation based on the identified scope of work. The Quotation, once accepted by the Customer, will define the scope of work. Any changes beyond the estimated work or required after the draft design acceptance will incur additional charges. The customer acknowledges that Proptech Innovation holds no responsibility for any amendments made by third parties before or after design publication. Project duration estimates provided by Proptech Innovation are approximations and are not binding.
2.2 Payment Clause
A non-refundable deposit of 30% (or greater at Proptech Innovation's discretion) of the project quotation total is required before work commences. The remaining payment is due upon completion of the work or as agreed upon in the proposal. Additional services beyond the estimated design will be charged accordingly. Publication of work will not occur until cleared funds are received.
2.3 Customer Review
Proptech Innovation will allow the Customer to review the appearance and content of the website during the design prototype stage. The Customer agrees to allow Proptech Innovation to include a small credit on printed material, exhibition displays, advertisements, or a link to Proptech Innovation's website on the Customer's website. The Customer also agrees to permit Proptech Innovation to showcase websites and designs for demonstration purposes and publicity.
2.4 Customer Acceptance
At the "sign-off" stage, the completed design will be presented to the customer. Unless notified otherwise within 10 working days, the materials will be deemed acceptable and approved. Invoices will be provided upon completion of work and are due upon receipt. Accounts unpaid after thirty (30) days will be subject to a service charge.
2.5 Default
Accounts unpaid for thirty (30) days will be considered in default. Proptech Innovation may remove material from its servers if the Customer's account is in default, but this does not relieve the Customer of payment obligations. Customers in default agree to pay reasonable ia Delivery (Continued)
Images must be suitable for use without subsequent processing, and Proptech Innovation is not responsible for image quality deemed unacceptable by the client later. Additional expenses may be incurred for necessary actions such as photography, media conversion, or data entry services. While Proptech Innovation will make reasonable efforts to return provided images or materials, it cannot guarantee their return.
2.6 Termination
Termination of services by the Customer must be requested in writing. The Customer will be invoiced for work completed up to the date of termination. Website content provided by the Customer remains their property, while associated system coding remains the intellectual property of Proptech Innovation unless otherwise agreed in writing.
2.7 Copyright
The Customer retains copyright and intellectual property rights to data, files, and graphic logos provided, granting Proptech Innovation rights to publish and use such material. The Customer must obtain permission for the use of copyrighted third-party material.
2.8 Changes to Site
Minor amendments/enhancements to the website are allowed within one month of launch free of charge. Afterward, changes will be charged at Proptech Innovation's hourly rate.
2.9 Standard Media Delivery
Text must be provided electronically, while photographs and graphics must be of sufficient quality. The Customer is responsible for timely supply of all necessary materials.
2.10 Access Requirements
If the Customer's website is to be installed on a third-party server, Proptech Innovation must be granted read/write access to the Customer's storage directories. Other resources may also need configuration on the server based on the project's nature.
2.11 Post-Placement Alterations
Proptech Innovation cannot accept responsibility for alterations made by third parties to the Customer's website once installed. The Customer agrees that website content should adhere to moral, legal, and advertising standards. Proptech Innovation reserves the right to refuse material that contravenes these standards.
3.0 Web Hosting (and Email) Services
All web hosting and support services provided by Proptech Innovation to the Customer are subject to the following terms and conditions.
3.1 Server Usage
Web hosting accounts are for the Customer's use only. Customers are responsible for preventing third-party access to their accounts. Reselling or giving away hosting services is prohibited without prior agreement. Server processes may not be run without Proptech Innovation's consent.
Proptech Innovation reserves the right to refuse hosting services if it determines inappropriate use. Prohibited content includes illegal material, adult content, and unauthorised software distribution.
3.2 Spam Guidelines
Unsolicited email (Spam) is not permitted and may result in service suspension or closure without refund.
3.3 Payment Policies
Accounts are set up on a prepay basis, with prices guaranteed for the prepaid period. Failure to pay may result in service suspension. Fees are non-refundable.
3.4 Cancellation and Refunds
Fees charged on a prepay basis are non-refundable.
3.5 Disclaimer
Proptech Innovation is not liable for any damages incurred by the Customer's business. No warranties are provided for services, and Proptech Innovation reserves the right to revise policies or cancel accounts without notice.
3.6 Technical Support
Technical support may be provided by a third party in partnership with Proptech Innovation. Proptech Innovation is not responsible for technical deficiencies or service interruptions. Clients should contact Proptech Innovation for support issues.
3.7 Unlimited Use Policy
Excessive server resource usage that impacts other clients may result in suspension of service. Proptech Innovation reserves the right to suspend or charge additional fees for such usage.
3.8 High Resource Policy
Proptech Innovation may suspend websites causing resource monopolisation until a resolution is reached, or offer continued hosting for an additional fee.
3.9 Data Backup
Proptech Innovation is not responsible for backing up customer data beyond files necessary for website reconstruction. Clients must retain copies of all content required for restoration.
4.0 - DOMAIN SERVICES
Service Provision
Proptech Innovation will provide Domain Services to the Client under the terms and conditions set out in this section and Part 1 of these Conditions.
The Client warrants that the registration and use of any requested domain name will not infringe on third-party rights or be made in bad faith. The Client agrees to comply with registration requirements and acknowledges that Proptech Innovation does not guarantee domain name registration.
Proptech Innovation will forward domain registration requests, provide administration services, and notify the Client of registration results. The Client is responsible for checking domain name spellings and complying with registration authority terms.
If the Client transfers ownership of a domain, it must ensure all necessary consents are obtained and provide evidence of such consents to Proptech Innovation. Domain transfer will not occur until Proptech Innovation receives assurances that the new owner agrees to these terms.
Proptech Innovation may change the domain registrar at its discretion. The Client agrees to the disclosure of registration information to relevant authorities and third parties as required by law.
The Client must comply with domain registration authority terms and policies at all times.
Proptech Innovation will only allow domain names owned by the Client to be attached to Proptech Innovation's ISP tag if the Client has an active hosting account with Proptech Innovation.
